03Terms

1.

Booking and retainer

a.

Northlight Films LLC reserves the shoot date only after the client signs this contract and pays the retainer.

b.

The retainer is the first payment in the payment schedule. It is part of the fee, which is the total in the Budget section.

c.

The retainer is non-refundable, except where this contract says Northlight Films LLC must refund it.

2.

Payment and late fees

a.

Northlight Films LLC invoices each payment in the payment schedule. The client must pay each invoice within 14 days of the invoice date, by a method listed on the invoice.

b.

Northlight Films LLC may charge a late fee of 1.5% per month on any amount still unpaid 30 days after its due date. If the law sets a lower maximum, that maximum applies.

c.

Northlight Films LLC may hold the final deliverables until the client pays the fee in full.

d.

If Northlight Films LLC has to collect an overdue amount, the client must also pay reasonable collection costs, including legal fees.

3.

Changes in scope

a.

The Project section sets the scope of this contract. Added work, such as another shoot day, a new deliverable, or a new location, needs a change order.

b.

Each change order states the added cost and any change to the timeline. Northlight Films LLC starts the added work after the client approves it.

c.

A shoot day is 10 hours for the crew, including a 1-hour meal break. If the client asks the crew to work longer, Northlight Films LLC bills overtime at the rate in the Budget section, in half-hour steps. Overtime needs no change order.

4.

Revisions

a.

The fee includes two rounds of revisions. A round is one combined list of changes that the client sends in writing.

b.

The client must send notes within 10 days of receiving a cut. If the client sends none in that time, Northlight Films LLC may treat the cut as approved.

c.

Each extra round costs the rate in the Budget section.

d.

A revision changes the edit of footage already shot. A reshoot, a new script, or a new concept is a change in scope.

5.

Cancellation and rescheduling

a.

The client may move the shoot date once, at no cost, with at least 14 days' written notice. The new date must be one when Northlight Films LLC is free.

b.

Any other change of date counts as a cancellation.

c.

If the client cancels more than 7 days before the shoot, Northlight Films LLC keeps the retainer and the client owes nothing more.

d.

If the client cancels 7 days or fewer before the shoot, the client must pay 75% of the fee, less what the client has already paid.

e.

If the client cancels after the shoot, the client must pay for the work done up to that point, at the prices in the Budget section.

f.

If Northlight Films LLC cancels for a reason other than one in the Weather and force majeure clause, Northlight Films LLC must refund every payment, including the retainer.

6.

Weather and force majeure

a.

If weather makes an outdoor shoot unsafe, Northlight Films LLC may postpone it. Northlight Films LLC must tell the client as soon as it decides.

b.

Northlight Films LLC and the client then pick the next date that works for both, at no extra cost.

c.

If the client chooses to shoot in rain, wind, or poor light, Northlight Films LLC is not responsible for how the weather affects the footage.

d.

Neither party is responsible for a delay or failure caused by an event outside its control, such as a natural disaster, a public health emergency, a power outage, or a government order. This does not excuse a payment that was already due.

e.

If such an event stops the project and the parties can't set a new date within 6 months, either party may end this contract. Northlight Films LLC then keeps payment for the work done and the costs already paid, and refunds the rest.

7.

Usage license and ownership

a.

Northlight Films LLC owns the copyright in the footage and the deliverables.

b.

Once the client pays the fee in full, the client may use the deliverables to market its own business, in any media except broadcast TV and cinema, worldwide, with no time limit.

c.

Before then, the client may use review copies only to give feedback.

d.

The client must not sell or sublicense the deliverables. For broadcast TV or cinema use, the client needs a separate written license from Northlight Films LLC.

e.

Northlight Films LLC must not license the deliverables to anyone else.

8.

Raw footage and archive

a.

Raw footage is all the unedited material from the shoot. The fee does not include a copy of it.

b.

Northlight Films LLC keeps the raw footage and project files for 12 months after final delivery. After that, Northlight Films LLC may delete them.

c.

During those 12 months, the client may buy a copy of the raw footage, or a new edit, at a price Northlight Films LLC quotes at the time.

9.

Releases, permits, and music licensing

a.

The client must get a signed release from each person it puts on camera, such as staff, customers, or talent. Northlight Films LLC can supply a release form.

b.

The client must get permission to film at each location, and any permit a location needs, unless the budget lists permits.

c.

The client must have the rights to any logo, product, artwork, or music it asks Northlight Films LLC to use.

d.

The client must cover Northlight Films LLC's losses and legal costs from any claim about material the client supplied, or about a release or permit the client did not get.

e.

Northlight Films LLC licenses the music in the deliverables. The client may use that music only as part of the deliverables, for the uses this contract allows.

10.

Credit and portfolio use

a.

Northlight Films LLC may show the deliverables and behind-the-scenes photos in its portfolio, on its website, and on social media.

b.

Northlight Films LLC must not show the work before the client publishes it, unless the client agrees in writing.

c.

Northlight Films LLC may name the client in its client list.

11.

Limit of liability

a.

If Northlight Films LLC fails to deliver some or all of the work, the client's only remedy is a reshoot or a refund of the payments for that work.

b.

Northlight Films LLC's total liability under this contract is limited to the amount the client has paid.

c.

Neither party is liable to the other for indirect losses, such as lost profits or lost business.

d.

These limits do not apply to fraud, gross negligence, or willful misconduct.

12.

Equipment failure and substitute crew

a.

Northlight Films LLC must bring backup cameras, audio recorders, and memory cards to the shoot, and must copy the footage to two drives by the end of each shoot day.

b.

If a crew member can't work because of illness, injury, or an emergency, Northlight Films LLC may send a substitute with similar skills. Northlight Films LLC must tell the client as soon as it can.

c.

If the shoot can't go ahead, or footage is lost because equipment fails, Northlight Films LLC must reshoot at no added fee or refund the payments for the affected work. The client chooses which.

13.

Independent contractor

Northlight Films LLC works on this project as an independent contractor, not as an employee. Northlight Films LLC decides how to do the work and is responsible for its own taxes, insurance, and crew.

14.

Confidentiality

a.

Each party must keep the other's confidential information private and use it only for this project.

b.

Confidential information includes unreleased products, plans, prices, and anything marked confidential. It does not include information that is already public.

c.

A party may share confidential information with crew or advisers who need it for this project, and when the law requires it.

d.

This duty continues after the project ends.

15.

Entire agreement and amendments

a.

This contract is the whole agreement between the parties. It replaces the quote and any earlier proposals, emails, or conversations about the project.

b.

Each approved change order becomes part of this contract. Any other change needs a written amendment that both parties sign.

16.

Severability

If a court finds any part of this contract unenforceable, that part still applies as far as the law allows, and the rest of the contract stays in force.

17.

Notices

Each party must send notices under this contract in writing, by email to the other party's address at the top of this contract. A notice takes effect on the next business day after it is sent. Either party may change its address by notice to the other.

04Governing law

California law governs this contract.

Before either party sues over a dispute about this contract, the parties must try to settle it through mediation. They share the mediator's fee equally.

If the dispute is not settled within 60 days after either party asks for mediation in writing, either party may sue. A party must file any suit in a court in the county where Northlight Films LLC has its principal office.

Either party may bring a claim in small claims court without mediation.
